2002-12-10 Second Amendment to Purhcase AgreementSECOND AMENDMENT TO PURCHASE AGREEMENT
RELATING TO LAND IN ALBERTVILLE, MN
THIS SECOND AMENDMENT TO REAL ESTATE PURCHASE AND SALE
AGREEMENT is made and entered into this % 0-'OLday of December, 2002, by and between
Cascade II Land Company, LLC, a Minnesota limited liability company (the "Seller") and
Albertville 2003, LLC (the "Buyer"),
WHEREAS, Seller and Buyer previously entered into that certain Purchase Agreement
Relating to Land in Albertville, MN dated October 7, 2002, as subsequently amended by that First
Amendment to Purchase Agreement Relating to Land in Albertville, MN dated November 12,
2002 (collectively, the "Purchase Agreement") relating to certain real property located in
Albertville, Minnesota; and
WHEREAS, the Buyer has requested, and the Seller has consented, to amending the
Agreement as set forth in this Second Amendment to provided for an extension of the Closing
Date.
NOW, THEREFORE, in consideration of the mutual covenants and conditions herein
contained and for other good and valuable consideration, the receipt and sufficiency of which is
hereby acknowledged, Seller and Buyer hereby amend the Purchase Agreement as follows:
1. Amendment to Paragraph 9. The Buyer and Seller hereby agree to delete the
first sentence of Paragraph 9 and replace it with the following: "The Parties shall meet at the
offices of Title on Thursday, January 16, 2003, or such later date as the Parties may establish
pursuant to the provisions of Section 11 below (the "Date of Closing", at which time"...
2. Effect on Purchase Agreement. Except to the extent revised hereby, all of the
terms and conditions of the Purchase Agreement shall continue in full force and effect.
3. Counterpart Execution: Effectiveness. This Second Amendment may be
executed in counterparts, each of which shall be deemed an original but all of which, taken
together, shall constitute one and the same instrument.
