MEMORANDUM OF DEVELOPER'S AGREEMENT
CEDAR CREEK GOLF COURSE PLANNED UNIT DEVELOPMENT
This MEMORANDUM OF DEVELOPER'S AGREEMENT is made as of the
day of , 1997, between Pilot Land Development Company, Inc.
("Developer") and the City of Albertville ("City").
WITNESSETH:
WHEREAS, Developer and City have entered into a Developer's Agreement of even
date herewith (hereinafter referred to as the "Developer's Agreement") applying to land
described on Exhibit A attached hereto and located in the City of Albertville, Wright County,
Minnesota; and Developer and City desire to have a memorandwn of the Developer's
Agreement recorded in the real property records of Wright County, Minnesota.
NOW, THEREFORE, Developer and City hereby state the following for recording:
1. Developer is developing a parcel of property within the City, said parcel legally
described on the attached Exhibit A.
2. Said parcel described on the attached Exhibit A is subject to the terms of the
Developer's Agreement as well as any amendments thereto du1y adopted by the City
and Developer from time to time, and all of the terms and conditions of said
Developer's Agreement are hereby incorporated by reference. Said Developer's
Agreement is on file with the Clerk of the City and is available for inspection and
copying at said Clerk's office.
3. The Developer's Agreement governs the subdivision, development and use of the real
property described on the attached Exhibit A, and contains significant restrictions on
the allowable uses of the property described on the attached Exhibit A.

4. The covenants, conditions and agreements contained in the Developer's Agreement
shall be binding upon and inure to the benefit of the parties' respective heirs,
administrators, executors, representatives, successors and assigns.
5. This Memorandwn of Developer's Agreement is solely for recording purposes and
shall not be construed to alter, modify or supplement the Developer's Agreement.

EXHIBIT A TO MEMORANDUM OF DEVELOPER'S AGREEMENT
The Real Property subject to the Developer's Agreement is legally described as follows:
The West Half of the Southwest Quarter of Section 35, Township 121, Range 24, Wright
County, Minnesota, except therefrom the following described tract:
Commencing at the northwest comer of said South Half of the West half of the Southwest
Quarter; thence south along the west line thereof 208.75 feet to the point of beginning of
the parcel to be described herein; thence continue south along said west line 208.75 feet
to a point; thence east at right angles 208.75 feet to a point; thence north parallel to the
west line of said South Half of West Half 208.75 feet to a point; thence west to the point
of beginning.
AND
The Northwest Quarter of Section 2, Township 120, Range 24, Wright County,
Minnesota, except therefrom that part lying southwesterly of the centerline of Wright
County Highway Nwnber 118.
AND
That part of the East Half of the Northeast Quarter of Section 3, Township 120, Range
24, Wright County, Minnesota that lies northeasterly of the centerline of Wright County
Highway Nwnber 118.
AND
The following described property in Section 2, Township 120, Range 24, Wright County,
Minnesota: The Northeast Quarter of the Southwest Quarter, except that part lying
southwesterly of the centerline of Wright County Highway Nwnber 118; That part of the
Southeast Quarter of the Southwest Quarter lying northeasterly of the centerline of
Wright County Highway Nwnber 118; That part of the Southwest Quarter of the
Southeast Quarter lying northeasterly of the centerline of Wright County Highway 118
and west of the centerline of County Ditch Nwnber 9.
