Dear Ms. Miller:
We represent Albertville Marketplace, LLC, the developer of Albertville Marketplace.
Enclosed, per city attorney Mike Couri's instruction letter to us dated July 25, 2007, attached
hereto (the "Instruction Letter"), please find the following documents for the city's review and,
where applicable, execution:
Letter of Credit in the amount of $723,250.00 from Vermillion State Bank;
2. Check No. 9330 in the amount of $9,628.00 issued to the city, check No. 9331 in the
amount of $10,445.75 issued to the City, and check No. 9334 in the amount of
$47,560.00 issued to the City for water trunk line fee, administrative fee, and park
dedication fees respectively;
3. Official plat mylar and 2 copies of the plat mylar of Albertville Marketplace (the "Plat")
executed on behalf of Albertville Marketplace, LLC and Westwood Engineering with
attached Consent of Vermillion State Bank (the "Bank");
4. Quitclaim Deed of Outlot B, Albertville Marketplace to City of Albertville;
Quitclaim Deed of Outlots A and C, Albertville Marketplace, to Albertville Marketplace
Association, Inc.;
6. Two originals of City of Albertville Planned Unit Development/Conditional Use
Agreement Albertville Marketplace (the "Development Agreement") executed on behalf
of Albertville Marketplace, LLC (one with attached original Consent of the Bank);
7. Certified copy of Articles of Incorporation of Albertville Marketplace Association, Inc.;
8. Copy of Bylaws of Albertville Marketplace Association, Inc.;

9. Copies of Minutes of Action in Lieu of First Meeting of Board of Directors of Albertville
Marketplace Association, Inc.;
10. Copies of Minutes of Action of Organizational Meeting of Incorporator of Albertville
Marketplace Association, Inc.;
11. Fully executed original Declaration of Covenants,. Conditions, Restrictions and
Easements of Albertville Marketplace (with attached Consent of the Bank);
12. Fully executed original Temporary Easement in favor of Albertville Marketplace, LLC;
and
13. Partial Release of Mortgage releasing Outlots A, B and C, Albertville Marketplace,
executed on behalf of the Bank.
Please review these documents and obtain the signature on behalf of the City on the Plat and the
Development Agreement as soon as possible. Please contact me immediately upon execution so
that we may deliver the Plat and other documents to be recorded to Wright County for its
respective signatures and for recording per the Instruction Letter.
