WRITTEN ACTION IN LIEU OF A MEETING
OF THE BOARD OF GOVERNORS OF
ADVANCED VOLUMETRIC ALLIANCE, LLC
The undersigned, being the required number of Members and Governors of the Board of Advanced
Volumetric Alliance, LLC, d/b/a AVA, a Minnesota limited liability company (the “Company”),
do hereby determine to act in lieu of a meeting pursuant to Minnesota Statutes Section 322C, and
hereby adopt the following resolutions effective as of the 8th day of September 2022.
APPROVAL OF LOAN
WHEREAS, the Company is the owner of the property (the “Property”) located at 6757 Karmen
Ave NE, Albertville, Minnesota legally described in Exhibit A;
WHEREAS, the Company has entered into that certain loan agreement (the “Loan”) from the City
of Albertville (the “Lender”) in the amount of $450,000.00 to assist with the purchase of
equipment on for the Company’s modular manufacturing facility (the “Project”) on the Property;
WHEREAS, the Loan will be evidenced by, among other documents, a promissory note (the
“Note”) in the original principal amount of $450,000.00;
WHEREAS, the Loan will be secured by, among other things, by a Security Agreement. The Note,
the Security Agreement, and all other documents evidencing, securing, effectuating, or modifying
the Loan are collectively referred to as the “Loan Documents”;
WHEREAS, the Company represents, warrants, and acknowledges that the Company will benefit
if the Lender makes the Loan and accepts the Loan Documents.
RESOLVED, that the Company hereby approves execution of the Loan Documents.
FURTHER RESOLVED, that Casey Darkenwald, as CEO of the Company, is hereby authorized
and directed to execute, acknowledge, and deliver the Loan Documents and any and all documents
necessary or desirable to consummate fully the Loan on behalf of the Company.
IN TESTIMONY WHEREOF, the required number of Members and Governors of the Company
have executed these resolutions effective as of the date first written above.
