The regular meeting of the Joint Powers Water Board was called to order by Chairperson Kauffman, on Monday, April 24, 2023 at 6:00 p.m. at the Joint Powers Water Board Water Treatment Plant, 11100 50'h St NE, Albertville, MN 55301. Board present: Tom Dierberger, Ryan Gleason, Chris Kauffman, Rob Olson, Keith Wettschreck (for Joe Hagerty), Bob Zagorski. Board absent: Joe Hagerty. Staff present: John Seifert, General Manager; Jennifer Thomas, Office Manager. Staff absent: Andrew Ahles, Water Department Supervisor / Facilities Manager, Dustin Carlson, Assistant Water Department Supervisor / Facilities Manager; Zac Foster, Project Manager. Engineering present: Chris Larson, HDR Engineering. Engineering absent: None. 2. Approve Agenda. Seifert asked for Board approval to add an Agenda topic under "Consent Agenda" to approve the Well 3 VFD Request for Proposal. Olson moved, Gleason seconded, to adopt the amended Agenda as presented. Unfinished Business. None. 5. General Business. 5.1 Water Treatment Plant HVAC Maintenance Contract. Seifert told the Board that it has a preventative maintenance contract with a single vendor which affords the Board a locked in price for HVAC emergencies. The current vendor's quote has a significant price increase. Due to this, staff sent the contract out for bids. Yale Mechanical provided the lowest bid ($2,560.01). Seifert asked for Board approval to give the annual water treatment plant HVAC maintenance contract to Yale Mechanical in the amount of $2,560.01. Dierberger moved, Olson seconded, to award the water treatment plant HVAC maintenance contract to Yale Mechanical in the amount of $2,560.01. Motion carried 6-0. Page 3 of 59 Joint Powers Water Board Regular Meeting Minutes April 24, 2023 Page 2 5.2 Joint Powers Water Board's 2023 CIP. Staff has been working with HDR Engineering to organize the Board's long-term Capital Improvement Plan (CIP). The plan looks at the number of wells, storage and water treatment that will be needed based on future demand. The proposed 2023 CIP was sent to the member Cities for their input. Most changes were grammatical in nature. Seifert asked for Board approval to adopt the revised Joint Powers Water Board's 2023 CIP as presented. Zagorski moved, Gleason seconded, to approve the revised Joint Powers Water Board's 2023 CIP as presented. Motion carried 6-0. 5.3 Review Terms of 2018 Site Lease Agreement with Verizon Wireless. In 2018, Joint Powers Water Board entered into a site lease agreement with Verizon Wireless for installation of antennas on the East Tower. The construction was authorized to begin in early 2019, but has now been rescheduled for completion in 2024. Seifert informed the Board that he has been in discussions with a Verizon representative regarding the commencement time frame, since the lease agreement does not give a definition of what the commencement date is. Seifert asked for Board approval to authorize Joint Powers Water Board's attorney to work with Verizon's attorney(s) to define the commencement time frame prior to the issuance of a building permit to Verizon. Olson moved, Wettschreck seconded, to authorize Joint Powers Water Board's attorney to contact Verizon's attorney(s) to review the 2018 Site Lease Agreement terms. Motion carried 6-0. 6. Engineer. 7. Operations. Seifert and Larson gave an update on the timeline for repairs needed on the Well 3 VFD. Seifert also gave the Board an update on the CSAH 19 project and informed the Board that the washing of the water towers will start in June. 8. Office. None. 9. The average fluoride concentration was 0.72 mg/L (Limits are 0.5 & 0.9). The total production to the distribution system was 67,837.000 gallons and actual consumer use was 54,271,700 gallons, an average daily amount of 1.81 million gallons per day. In early January, during a routine filter regeneration, it was discovered that the filter media level were nearly up to the hatch opening (over a foot higher than when the filter was new). It was discovered that much of the original filter media is gone and has been replaced by small balls of oxidized iron and manganese. Luckily the filters continue to produce good quality water. Due to the age of the filters and the concerns with the filter media, a filter rehabilitation project was recommended. At the February 2023 Board meeting, a contract for $30,000 was awarded to HDR to prepare preliminary plans and specifications for a filter rehabilitation project. The filter rehabilitation plans and specifications are approximately 80% complete. Attached is a proposal for $14,500 for SEH to finish the plans and specifications, issue the project for bidding, conduct a pre -bid meeting, attend the bid opening, and prepare a bid tab and recommendation. Hourly Basis Option The Client and Consultant select the hourly basis for payment for services provided by Consultant. Consultant shall be compensated monthly. Monthly charges for services shall be based on Consultant's current billing rates for applicable employees plus charges for expenses and equipment. Consultant will provide an estimate of the costs for services in this Agreement. It is agreed that after 90 % of the estimated compensation has been earned and if it appears that completion of the services cannot be accomplished within the remaining 10 % of the estimated compensation, Consultant will notify the Client and confer with representatives of the Client to determine the basis for completing the work. Compensation to Consultant based on the rates is conditioned on completion of the work within the effective period of the rates. Should the time required to complete the work be extended beyond this period, the rates shall be appropriately adjusted. B. Expenses The following items involve expenditures made by Consultant employees or professional consultants on behalf of the Client. Their costs are not included in the hourly charges made for services and shall be paid for as described in this Agreement but instead are reimbursable expenses required in addition to hourly charges for services: 1. Transportation and travel expenses. 2. Fees paid, in the name of the Client, for securing approval of authorities having jurisdiction over the Project. 3. Plots, Reports, plan and specification reproduction expenses. 4. Other special expenses required in connection with the Project. 5. The cost of special consultants or technical services as required. The Client shall pay Consultant monthly for expenses. C. Equipment Utilization The utilization of specialized equipment, including automation equipment, is recognized as benefiting the Client. The Client, therefore, agrees to pay the cost for the use of such specialized equipment on the project. Consultant invoices to the Client will contain detailed information regarding the use of specialized equipment on the project and charges will be based on the standard rates for the equipment published by Consultant. As part of the process to investigate increasing the rent to reflect the intent of the original lease, staff has worked through the attorney review process from Verizon and Joint Powers Water Board's attorney, Scott Landsman. Attached for the Board's review and approval is a successful amendment to reflect the updated pricing with two additional deal points. The first is that there is inclusion in the amendment that if the tower is not built and constructed to initiate payments, the contract will be null and void in the year of 2024. The second item allows for the full recapture of the capital investment program for the project per Verizon back to the initial 25 year term. Without the amendment the lease would expire in 20 years as written. As consideration for the modifications to Tenant's equipment and the period between the Effective Date and the Commencement Date, the annual rental payable during the Initial Term, as set forth in Section 4.a. of the Agreement, is hereby increased to a new total annual amount of Twenty Five Thousand Eight Hundred Fifty and 00/100 Dollars ($25,850.00). The annual rent, as modified by this Amendment, shall escalate during the Renewal Terms in accordance with Section 4.a. of the Agreement. 3. Exhibit B to the Agreement is hereby replaced and superseded by Exhibit B-1, attached hereto and incorporated herein. 4. The Commencement Date shall commence upon Tenant receiving a permit to install its equipment described in attached Exhibit B-1. If Tenant does not substantially complete the installation of its equipment by September 1, 2024 the Agreement shall terminate. 5. All remaining provisions of the Agreement shall remain in full force and effect as to all other terms and conditions, and shall remain binding on the Parties hereto. The Parties hereby ratify the Agreement, as amended by this Amendment. 6. The Agreement and this Amendment contain all agreements, promises or understandings Page 56 of 59 between the Parties. No oral agreements, promises or understandings shall be binding upon either Party in any dispute, controversy or proceeding at law. Any addition, variation or modification to the Agreement and/or this Amendment shall be void and ineffective unless made in writing and signed by the Parties. In the event any provision of the Agreement and/or this Amendment is found to be invalid or unenforceable, such a finding shall not affect the validity and enforceability of the remaining provisions of the Agreement and/or this Amendment. Each of the Parties hereto warrants to the other that the person or persons executing this Amendment on behalf of such Party has the full right, power and authority to enter into and execute this Amendment on such Party's behalf and that no consent from any other person or entity is necessary as a condition precedent to the legal effect of this Amendment.
