MICHAEL-ALBERTVILLE ICE ARENA BOARD MINUTES June 12, 2023 6:00 pm Present: Chairman Aaron Cocking and members, Keith Wettschreck, Kari Dwinnell, Ryan Gleason, Tim Lewis and Bob Zagorski. Absent: Travis Weber. Also present: City Administrator Adam Nafstad, Finance Clerk Kristie Moseng, STMA Arena Manager Grant Fitch, Rick O’Brien and Megan Esterberg for STMA Youth Hockey & Tyler See with Abdo. The meeting was called to order at 6:00 pm by Chairman Cocking. Adopt Agenda Members Wettschreck/Dwinnell moved to set the agenda as presented. All voted aye. Absent: Weber Approval of Minutes Members Gleason/Lewis moved to approve the minutes of the March 13, 2023 Board Meeting as presented. All voted aye. Absent: Weber 2022 Audit Presentation – ABDO Tyler See with Abdo presented the 2022 Audited Financial Statement Audit. The board thanked Tyler for his time and presentation and had no further questions. Members Gleason/Lewis moved to approve the 2022 Audit Report as presented. All voted aye. Absent: Weber Finance Reports Nafstad reported that there were three List of Claims and Finance Reports in the packet. This was due to not having a April & May 2023 monthly Arena Board meeting. Members Gleason/Zagorski moved to approve the March, April, & May 2023 List of Claims and the March, April & May 2023 Financial Reports as presented. All voted aye. Absent: Weber Arena Manager’s Report Mr. Fitch reported the VFD on compressor #1 is bad and not covered under the SCR blanket for replacement – it is a current exclusion item. A quote was received from SCR for replacement after the Arena Board packet was sent on Thursday, June 8, 2023. A copy will be attached within the July 2023 Agenda for further review. Member Wettschreck asked how old the current one is and Fitch stated it is approximately 5 years old. Nafstad stated it is his understanding that the replacement of the VFD would be covered 50% by the school and 50% by the board. Fitch stated he would discuss with Director Bichler with STMA School District on further details and follow up with the board during the July 2023 meeting. Members Lewis/Dwinnell moved to conditionally approve the VFD replacement upon approval from Director Bichler with STMA School District on cost. Ms. Dwinnell asked if Fitch had signed contracts for the various groups who are reserving ice time. Fitch stated that they have been successful so far without a contract, but would be willing to review an ice allocation policy. Nafstad/Fitch will work on bringing something back to the board for the July meeting to review. Old Business None New Business None Youth Hockey Association Rick O’Brien and Megan Esterberg were in attendance for STMA Youth Hockey Association. STMA Arena Board 07/10/23 1 STMA June 12, 2023 Minutes Page 2 Mr. O’Brien reviewed options for advertising long the Hat Trick Hockey wall. Nafstad/Fitch stated this was approved at a previous meeting. Chairman Cocking replied, to his knowledge, that a boom lift rental to install the advertising sign would be paid for by STMA Youth Hockey. Nafstad reported that the Advertising Agreement would be updated to include the newly added advertising space when Hat Trick Hockey/dryland space was created within the arena. Member Dwinnell questioned why there is not a current Learn to Skate program in STMA. Discussion circled around on options, day and program times and fees involved. Ms. Dwinnell stated that if a resident wanted to participate in the program, they will adjust their schedule to attend – program doesn’t necessarily need to be held on a Saturday morning, interfering with prime ice. Ms. Esterberg stated STMA Youth Hockey are reviewing options to ramp up recruiting for Mites. There was also early discussion on Learn to Skate options for STMA Youth Hockey/Community Education/STMA Arena. More details and follow up would be supplied at the next meeting, if available. VFD ordered and should be installed next week Black Rubber Matting (Blue Rink): Still having issues with interlocking matting shifting and not laying flat. We have patched it a few times and can’t run the scrubber on it. This policy has been adopted by the STMA Arena Board and may be revised from time to time. Policy objectives include: • Operate the facilities in an equitable, cost-effective and fiscally sustainable manner; • Balance and best meet the demands of the School District, local youth hockey community, and private organizations; • And, to ensure all parties understand the ice time allocation process Policy: 1. Prioritization of User Groups The primary constituencies served by the STMA Arena include the STMA School District, the STMA Youth Hockey Association, general public skating and hockey recreation, and private groups and organizations. Priority of ice allocation shall be as follows: First - STMA/NWC High School Games Second - STMA/NWC High School Practices (prior to 6 p.m.) Third - STMA/NWC Hockey Boosters Fourth - STMAYHA Hockey Games, Practices and Tournaments Fifth - Public Skating and Community Recreational Programs Sixth - Civic, Community or Non-profit Organizations within the School District Seventh - Local Private For-Profit Organizations Eighth – Non-local Private For-Profit Organizations Ninth - Civic, Community or Non-profit Organizations outside the School District Notes: • For-profit priority will be based on usage with priority given to highest usage. • Allocated ice can only be used for intended user – i.e., ice allocated to youth hockey can only be used by youth hockey. 2. Processing of Ice Allocations Requests for ice shall be submitted to the Arena Manager as follows: STMA Arena Board 07/10/23 10 Fall/Winter Session (Oct 1. to March 15) - Requests for fall/winter ice must be received by July 1st of the current year. Allocations will be confirmed by August 1st of the current year. Spring Session (March 16 to May 31) - Requests for spring ice must be received by December 1st of the previous year. Allocations will be confirmed by January 31st. Summer Session (June 1 to September 31) -Requests for summer ice must be received by February 1st of the current year. Allocations will be confirmed by March 1st of the current year. Requests received after these deadlines will be processed on a first-come first served basis and based on the priority of the group. User requests for increased ice time will be considered only if ice is available. Ice hours may be allocated, returned or taken under this policy only in whole hour time slots shown on the Arena Mangers master schedule for the year. As a multi-sheet facility, the two sheets of ice will be generally reserved as follows: Blue Sheet – Games and Scrimmages Gold Sheet – Practice and private rentals 3. Payment, Fees and Contracts Hourly ice rates shall be as set annually by the STMA Arena Board. With the exception of the School District, all users reserving ice shall prepay or enter into an Ice Rental Contract. Refunds for cancellations will be subject to the Ice Rental Contract. 4. Cancellations The STMA Arena reserves the right to cancel ice time for emergency repairs, public safety, school/community events and building maintenance. When this occurs, the STMA Arena will attempt to provide alternate accommodations. STMA Arena Board 07/10/23 11 1 | Page STMA ICE ARENA ICE RENTAL CONTRACT This agreement, made and entered into this day of , 20 , b y and between the STMA Ice Arena (hereinafter referred to as the “Arena”), owned jointly by the Cities of Albertville, St. Michael, and School District 885, organized under the laws of the State of Minnesota (hereinafter referred to as “Arena Board”), and ____________________________________________, hereinafter referred to as the “User.” Whereas, the Arena Board has established an Ice Allocation Policy to prioritize ice sales to the Arena’s various user groups; and Whereas, the Arena Board has established hourly ice rental rates, to be charged to users of the Arena; and Whereas, the User desires to rent ice subject to the terms and conditions of this agreement and all applicable laws and regulations. Now, therefore, the following provisions are mutually agreed upon between the Arena and the User: 1. Term - The Arena Board hereby permits User the use of the Arena for the period as set forth on the schedule attached as “Exhibit A.” 2. Hourly Rental Rates – Hourly rates per each ice sheet (Blue or Gold) will be as follows: Prime Rate (9/1/2 to 3/15) $230 School Day (8:30-3:00) $155 Summer Rate (3/16 to 8/31) 200 hrs or less $175 200 plus $155 3. Payment - At the end of each calendar month, the Arena shall submit an invoice to the User for the hours rented (used or unused). The invoice for such rental of the Arena shall be due and payable within thirty (30) days of the dated invoice. Any unpaid balance beyond the thirty (30) days of the dated invoice shall be subject to finance charges at the rate of 1.5% (annual percentage rate of 18%). Said finance charges will be based on the balance due for the number of days the balance remains unpaid. Any unpaid balance due beyond sixty (60) days of dated invoice shall be sufficient reason for denying User future rental of facility. 4. Cancellation - The STMA Ice Arena reserves the right to cancel ice time for emergency repairs, public safety, school/community events and building maintenance. When this occurs, the STMA Ice Arena will attempt to provide alternate STMA Arena Board 07/10/23 12 2 | Page accommodations. In the event the User finds it necessary to cancel any of the rental periods of the Arena for which it has contracted, the User shall give the Arena Manager ten (10) working days prior notice in writing of intent to cancel. In the event the Arena sells the cancelled contracted time to another party, then the User is no longer liable for the charge on the cancelled contracted time. If the time is not sold, the User shall pay for the cancelled contracted time at the specified rate. If any contracted time is cancelled on less than ten (10) working days’ notice and not resold, the User shall pay for the cancelled contracted time at the specified rate. Sale to another party means an hourly sale of ice at specified rate and does not include spontaneous Arena programs that serve as ice time schedule fill-in activities, i.e. open hockey, open skating, etc. All notices of cancellation of contracted rental time by the User must be in writing and given to, mailed or emailed to the Arena Manager. If the notice of cancellation is mailed, the date of receipt of the notice by the Arena Manager shall constitute the beginning of the ten (10) day prior notice requirement. 5. Assignment and Subletting - The User hereby agrees that they cannot and will not assign nor sublet any part of the said premises without the consent in writing of the Arena Board, and the completion of a STMA Ice Arena Contract by other party. 6. Indemnification - The User and each of its members in consideration of being allowed to use the STMA Ice Arena agrees to indemnify, defend, save the Arena, and voluntarily assumes all risks of accident or damage to its property and to the person and property of said members and hereby releases the Arena, Arena Board, its officers and employees from every claim, liability or damage of any kind sustained by it and each and every of its officers or employees. 7. Code of Conduct and Regulations - User hereby agrees that it and its members using the Arena will abide by all Code of Conduct and regulations adopted by the Arena Board, and as amended from time to time, for use of the Arena. The User is responsible for the supervision and conduct of participants and spectators both on and off the ice. The User will abide by and communicate Code of Conduct to User’s members, guests, invitees, and others utilizing the Arena under the User’s rental contract. Code of Conduct is listed in attached “Exhibit B.” A violation of the Code of Conduct by any player, parent, coach, team officials, spectator or employee of the said User may prohibit future use of the Arena by that person or employee. Any damage to the Arena or its contents caused by any player, parent, coach, team official, spectator, or employee of the said User shall be repaired and/or replaced and the Arena shall be reimbursed for all costs involved by the User. 8. Insurance - Both User and STMA Arena shall maintain liability insurance against claims for bodily injury, death or property damage occurring on or about the STMA STMA Arena Board 07/10/23 13 3 | Page Ice Arena. Such insurance shall be written on an occurrence basis with a combined single limit of not less than $1,000,000 per occurrence. If the insurance policy is written on a “claims-made basis”, the party will maintain coverage for a minimum of three years past the expiration of this agreement. The retroactive date of the policy shall be indicated on the certificate of insurance outlining coverage. The User shall provide a copy of proof of insurance to keep on file. In addition, the User shall name the STMA Ice Arena and its agents as an additional insured. Both parties will maintain all workers compensation insurance required by law. 9. Mechanical Equipment Failure - In the event of mechanical failure of the Arena equipment, the User will be notified by the arena staff as soon as possible. The Arena management shall have the exclusive authority to determine whether the ice sheet is in usable condition, and shall not be liable to the User for the consequences of any cancellation other than to supply the User with substitute ice time or a refund. 10. Sale of Food and Beverages - The Arena Board has the exclusive right to operate concession sales at the Arena for the sale of food and beverages, including food and beverages dispensed from vending machines. The User shall not permit its members to sell or provide food without the consent of the Arena Manager. No mobile food trucks are permitted on Arena property or on public property adjacent to the Arena. 11. Advertising - No advertising by User in or on any part of the Arena is permitted without the express written consent of the Arena Board. 12. Retail Sales – No retail sale of goods, apparel, or services by User on premise is permitted with the express written consent of the Arena Board. 13. Parking Lot Usage - The User will have shared use of the parking lot on a first come, first served basis and may not prohibit use by other patrons. 14. Alcohol and Tobacco - Alcohol and tobacco use of any kind is not allowed on the premise. Be respectful of the arena, read and follow all posted signs. 2. No spitting on the locker room floors, bleacher areas, or the walls. 3. No stick handling in the lobbies, bleacher areas, mezzanine or conference room. This rule includes shooting tape balls and stick handling golf and tennis balls! 4. No soccer balls, skateboards, rollerblades (in-line skates) or roller shoes. 5. No smoking or tobacco use in the facility. 6. No alcoholic beverages allowed. 7. STMA Ice Arena is not responsible for an individual’s hockey or skating equipment. 8. Dry land training is only permitted in specified locations. 9. Food and Beverage Policy a. No outside food or beverages are allowed without Arena Manager’s permission. b. Mobile food units are not allowed on premises 10. Open Skating Rules a. No pucks, sticks or balls b. No food or beverages on the ice c. No horseplay, tag, crack the whip or racing d. Skate in the direction that the skate guard dictates, never skate against the flow or traffic e. Slower or inexperienced skaters keep near the boards f. No sitting on the boards g. No shoes on the ice h. Do not carry anyone while skating i. Please be courteous of other skaters, keep a safe distance j. Report any misconduct or accidents to the Arena staff 11. Locker Room Policy a. Locker room use is a privilege, not a right. b. Restrooms, lobbies and common areas are not acceptable areas to change in and by inappropriately doing so you may forfeit your ability to skate at the STMA Ice Arena, without a refund of rental fees. c. The STMA Ice Arena is not responsible for theft at the arena, it is suggested that all valuables not be brought into the facility. d. Please report any damage, trash or unsanitary conditions in locker room to arena staff. STMA Arena Board 07/10/23 16 e. Locker rooms are to be supervised by the team coaches or managers; when players must be at the arena at a designated time then the coaches/managers should be there also. f. Any damage to the locker room will be billed out to the user or team (such as puck marks on the walls, bench damage, unnecessary amount of garbage) repeat offenders will be denied use of the facility. 12. On Ice Policy a. No one will enter the ice until the ice re-surfacer has left the ice surface and the doors are closed. b. In the event that someone enters the ice while the ice is being resurfaced, the driver, at his or her discretion for the safety of the driver and person entering the ice, will exit the ice surface without finishing the resurface; if deemed necessary the Arena Manager will be informed and ice rental may be cancelled with no refund. c. No one is allowed to write on the glass dasher boards or benches. d. Painting or markings/drawings of any kind are not allowed on the surface of the ice, unless approved by arena staff. e. All pucks should be picked up prior to the end of the ice rental period. All players and coaches need to be exiting the rink when the re-surfacer doors open. f. Referees, coaches or players are to move the nets according to the direction of the driver. 13. Parking Lot Policy a. Parking is on a first come, first served basis. b. Users may not prohibit use by other patrons. c. Parking is limited and needed for arena events. Use of the parking lot for out of town games by parents or players is prohibited. d. The STMA Ice Arena reserves the right to tow vehicles at the vehicle owner’s expense. 14. Keep hands off of rink glass and the lobby glass – keep the arena looking new! 15. The STMA Ice Arena has been built by the tremendous efforts of many people in the community, please help us keep it looking great! STMA Arena Board 07/10/23 17 LEARN TO SKATE Date: July 10, 2023 To: STMA Arena Board From: Adam Nafstad, City Administrator At the June meeting the Board discussed its desire to have a Learn to Skate Program. STMA Youth Hockey expressed interest in running a program and it was suggested Community Ed could also potentially run the program. Grant and I had brief conversions with Maryellen, our Community Educations Director, and Maryellen stated the she does not have the staff to run the program. As the Arena Board considers approving the Ice Allocation Policy, it should consider whether to include a Learn to Skate program as a scheduling priority. Historically, with the limited ice availability, Learn to Skate and Hockey (youth and high school) competed for ice time. STMA Arena Board 07/10/23 18
