The regular meeting of the Joint Powers Water Board was called to order by Chairperson Gleason, on Monday, December 16, 2024 at 6:00 prn, at the Joint Powers Water Board Water Treatment Plant, 11100 501h Sit NE, Albertville, MN 55301. Board present: Ryan Gleason, Tom Dierberger, Keith Wettschreck (for Joe Hagerty), Chris Kauffman, Rob Olson, Bob Zaigorski. err'/ 11M. Staff present: John Seifert, General Manager; Jennifer Thomas, Office Mainager. Staff absent: Dustin Carlson, Water Department Supervisor/ Facilities Manager, Engineering present: Chris Larson, Short Elliott Hendrickson, Inc, (SEH). 2. Approve Agenda. Seifert asked to add two claims to the Claims List. Zagorski moved, Dierberger seconded, to adopt the Agenda as presented with the addition of the two claims to the Claims List. Motion carried 6-0. 3. Approve Consent Agenda. Olson moved, Zagorski seconded, to approve the Consent Agenda below. General Manager Seifert reminded the Board that they previously approved scope of services with SEH Engineering and Engineer Larson to design and produce finial design and bid documents for all Joint Powers Water Board water infrastructure to be updated on its Supervisory Control and Data Acquisition (SCADA). Larson went over the need for improvements to the SCADA system, what the project entails and timeline to complete the project, and requested authorization from the Board to proceed with the bidding process for the SCADA improvements project. Staff recommends authorizing SEH to advertise for competitive bids off the current plans and specifications produced as part of that scope. Wettschreck moved, Olson seconded, to, approve SEH's to advertising for competitilve bids off the current plans and specifications produced as part of that scope. Motion carried 6-0. Joint Powers Water Board &egwlar Meeting Nlinttts-- December 16, 2024 Page 2 4.2 Request for Proposal for Ground Storage Reservoir Tarok. General Manager Seifert told the Board that in November 2023, it developed a Water Storage Tank Siting study. That study recommended additional storage capacity for the JPWB service area to satisfy both the current and future adequate service levels. At its September 2024 meeting, the IPWB authorized staff to formally solicit for competitive Request for Proposals (RFPs), to provide Final Design and Bidding services to construct the proposed GSR. Three completed RFP submissions were received on December 10th, and have since been evaluated by the Pupil TAC Committee. The Committee ranked the RFPs with the established ranking system in the original supplied instructions to the firms submitting their proposals: SEH Engineering (71/100 evaluation points - not to exceed $166,190); APEX Engineering (77/100 evaluation points - not to exceed $183,235); AE2s Engineering Services (94/100 evaluation points - not to exceed $399,800), TAC Committee members unanimously recommended offering the scope of services contract to SEH as the successful RFP engineering firm. Staff recommends authorizing acceptance of the engineering services contract for the final design and bidding services for the GSR from SEH Engineering and the execution of necessary contract documents. Wettschreck moved, Kauffman seconded, to approve the engineering services contract for the final design and bidding services for the GSR from SEH Engineering not to exceed $166,190 and the execution of necessary contract documents. Motion carried 6-0. 4.3 Joint Powers Water Board Budget. General Manager Seifert provided the, Board with details of the proposed 2025 budget of $1,962,913. Staff recommended acceptance of the 2025 Joint Powers Water Board budget as presented. Olson moved, Dierberger seconded, to approve the 2025 Joint Powers Water Board budget in the amount of $1,962,913. Motion carried 6- 0. S. Engineer. None, 6. Operations. None. 7. Other Business / Announcements / Correspondence. 7.1 Scrap Metail Recycling Payment. General Manager Seifert told the Board that Staff has been working at stripping wire and received a check for $2,458.75 from Northern Metal Recycling for recycling of the scrap. V�. Adjourn. Depending on access requirements, ground conditions or potential utility conflicts, our field crew may alter the exploration locations from those proposed to facilitate accessibility. For purposes of linking the CPS data to an appropriate reference, we request that you provide CAD files indicating location/elevation references appropriate for this project, or give us contact information for the consultant that might have such information, Utility Clearance Prior to drilling or excavating, we will contact Gopher State One Call and arrange for notification of the appropriate utility vendors to mark and clear the exploration locations of public underground utilities. You, or your authorized representative, are responsible to notify us before we begin our work of the presence and location of any underground objects or private utilities that are not the responsibility of public agencies. Penetration Test Borings, As requested, we will drill nine, standard penetration test (SPT) borings for the project. Table I provides a summary of the proposed boring locations and depths. Note we are, proposing to complete some of the borings, to greater depths than highlighted in the RFP based on our knowledge of the anticipated soil types and experience with similar projects. Therefore, the Minnesota Statutes requires us to submit to the Minnesota Department of Health (MDH) by mail a "Sealing Notification Form" and submit a Sealing Record after our completion of the borings. The Sealing Notification Form requires a signature of the current property owner, or their agent, and we need to submit this to the MDH prior to our mobilization to the site. We are attaching a copy of the Sealing Notification Form at the end of this proposal for your signature. Our proposal includes the fees for the MDH Sealing Notification and the Sealing Record. Sealing b,oreholes with grout will prevent us from disposing of auger boring cuttings in the completed boreholes. Unless you direct us otherwise, we intend to thin -spread the cuttings around the boreholes. If we cannot thin -spread cuttings, we will put them in a container left on site. We can provide off -site disposal of the cuttings for an additional fee. Over time, subsidence of borehole backfill may occur, requiring releveling of surface grades. In this proposal, we present our understanding of the project, an outline of the scope of services we are to provide, a fee schedule, and an estimated fee for our services,. 1 0 PROJECT DESCRIPTION We understand Joint Powers Water Board is proposing the construction of a ground storage reservoir (GSR) located at 10690 15111 St NE in St, Michael, Minnesota. The proposed GSR will be approximately 106-156 feet in diameter and 35-45 feet tall. Given the tank dimensions and our experience with other, similar storage structures, we assume tank bottom soil pressures will be on the order of 2,500 to 3,000 pounds per square foot. The proposed construction also consists of general site improvements for driveways and generator pad areas. Tle assume the proposed GSR will be supported by a ring -style foundation and foundation walls, and the fisisked floor elev Based on the provided project layout plan, the proposed GSR footprint will have approximately 12 feet of elevation relief. We assume the tank will be cut into the hillside, thus a portion of the tank will retain soil. Based on a review of geological maps and our experience in the area, we anticipate encountering clayey glacial till soils. One SPT boring to depth of 60 feet within the proposed GSR. ■ Five SPT boring to depth of 30 feet within the proposed GSR. Three SPT borings to depths ranging from 20 feet throughout the proposed site improvement. a Measure groundwater approximately 24 hours following the soil borings. 0 Perform one cone penetration test with pore pressure measurement (CPTu) soundings to a depth of 100 feet or obstruction, whichever occurs first, 0 Backfill the boreholles per Minnesota Department of Health (MDH) requirements. Document the final soil boring locations and elevations using a CPS unit sub -meter accuracy. The borings and sounding will be performed to the depths mentioned above or obstruction. Bedrock coring is not part of the scope. Prior to drilling, we will contact Gopher State One Call to locate public underground utilities. Gopher State One Call does not currently charge for this service, but they will not locate private underground utilities or structures. The marking of private utilities must be arranged by the property owner prior to our drill crew mobilization. Please see our discussion in the UNDERGROUND UTILITIES section later in this proposal. We will drill the boring using hollow stem augers, with sampling by the split -barrel method (ASTM, D1586). Our crew will keep field logs noting the methods of drilling and sampling, the Standard Penetration Values (N-values, "blows per foot"), preliminary soil classification, and observed groundwater levels, We will collect samples at 21/2-foot intervals to 14.5 feet and 5-foot intervals thereafter to the termination depths. Representative portions of recovered samples will be sealed in jars to prevent moisture loss and submitted to our laboratory for review, testing, and final classification. We will backfill the boreholes to comply with State requirements. Even after backfilling, some sloughing of the backfill may occur, resulting in a potential tripping hazard to pedestrians. We assume the owner will backfill and repair any borehole that may slough after our exploration is complete, AET cannot accept any liability associated with pedestrian injury. We assume that the site is readily accessible for our ATV -mounted drill rig. Our ATV -mounted drill rig may encounter difficulty navigating the site if the snow depth is greater than 12 inches at the time of our field exploration. We assume the owner will provide access to the boring locations. Accessing the boring locations may leave ruts in the ground. We assume the owner will perform any site restoration work. We have not included a fee for site restoration, snow clearing, or tree cutting in our cost estimate. 2.2 Soil Laboratory Testing We will initiate routine laboratory testing by reviewing each recovered soil sample to assess the major and minor soil components, while also noting the color, degree of saturation, and lenses or seams in the samples. If we encounter cohesive soil, we will test selected samples for moisture content. We will then prepare the final subsurface boring log. 2.3, Report Following the field and laboratory services, a report will be prepared and submitted. The report will include a log of the soil borings, the laboratory test results, and a review of the engineering properties of the on -site soils and our geotechnical engineering opinions and recommendations regarding the following: • Grading procedures to prepare the GSR area for structural support, including comments on the suitability of the on -site soils for reuse as fill. • Foundation types and depths for the GSR structure, including allowable soil bearing capacity and estimates of foundation settlement. • Recommendations for lateral earth pressures acting on below -grade walls, including lateral earth pressures. • Backfilling procedures, including material types and compaction requirements. • Soil parameters including coefficient of friction between the foundation and underlying soils, a modulus of subgrade reaction, Seismic Site classification, Seismic Spectral responses, and downward drag coefficient of backfill on wall. • Comments on other items which may affect final performance or constructability, such as frost heave and drainage considerations. 3.0 SCHEDULE Weather permitting and based on our current backlog,, the soil borings can be performed within four to six weeks following authorization,. The field exploration should take approximately three days to complete. We anticipate the report can be completed within three to four weeks after completion of the field exploration. We are unlikely to meet your requested report deadline of March 5, 2025. However, we will provide preliminary recommendations via email and provide draft boring logs as soon as feasible following the field exploration. Variations in soil conditions occur between and beyond sampled/tested locations. The passage of time, natural occurrences and direct or indirect human activities at the site or distant from it may alter the actual conditions. Client assumes ail risks associated with such variations in soil and subsurface conditions. 1.5 - AET is not responsible for interpretations or modifications of AET's recommendations by other persons. 1.6 - Should changed conditions be alleged, Client agrees to notify AET before evidence of alleged change is no longer accessible for evaluation. 1.7 — Pricing in the proposal assumes use of these terms and conditions. SECTION 2 - SITE ACCESS AND RESTORATION 2.1 - Client will furnish AET safe and legal site access. 2.2 Client acknowledges that in the normal Course of its Services, AET may unavoidably alter existing site conditions or affect the environment in the area being studied. AET will take reasonable precautions to minimize alterations to the site or existing materials. Restoration of the site is the responsibility of the Client. SECTION 3 - UNDERGROUND UTILITIES AND STRUCTURES (FACILITIES) 3.1 - AET's sole responsibility under this section will be to contact the state "call before you dig" notification center (e.g. Gopher State One Call in Minnesota), if such an entity exists, for location information of public utilities only. AET shall have no obligation to proceed with the work until Client has fully complied with all the requirements of this Section 3. 3.2 - Client will mark or cause to be marked the location of all other Facilities that service or are located on the site. SECTION 4 - CONTAM I NATION 4.1 - Client acknowledges and accepts all contamination risks which may be associated with the Services, Risks include, but are not Ilimited to, cross contamination created by linking contaminated zones to uncontaminated zones during the drilling process; containment, and proper disposal of known or suspected hazardous materials, drill cuttings and drill flluids; and decontamination of equipment and disposal and replacement of contaminated consurnables. Discovery of actual! or suspected hazardous materials shall entitle AET to take immediate measures it deems necessary in its sole discretion, including regulatory notification, to protect human health and safety, and/or the environment. Further, discovery of such materials constitutes a changed condition for which Client agrees to pay associated additional cost. 4.2 - Client shiall incleminify and hold AET harmless from all liability, damages, claims or costs resulting from contaminants on the site. Renewal policies during this period shall maintain the same retroactive date. 95 -To the extent permitted by applicable state law, and upon Client's signing of the proposal, which includes these Terms and Conditions, and return of the same to AET, or Client provided forms of acceptance as defined in Section 1.1; Client and Owner shall be named an "additional insured" on AET's Commercial General Liability Policy (Form CG D4 14, which includes blanket coverage for the Additional Insured on a Primary and Non -Contributory basis). Client and Owner shall also be named an "additional insured" on a, Primary and Non-contributory basis on AET's Automobile Liability Policy (Form CA T4 74), Any other endorsement, coverage or policy requirement may result in additional charges. 9.6 - AET will maintain insurance coverage required by this Agreement at its sole expense, provided such insurance is reasonably available, with Insurance carriers ficensedto do business in the state ins which the project is located and having a current A.M. Best rating of no less than A minus, (A-). Such insurance shall provide for thirty (30) days prior written notice to Client for notice of cancellation or material limitations for the policy or ten (10) days' notice for non-payment of premium. 9;7 - AFT reserves the right to charge Client for AET's costs for additional coverage requirements unknown on the date of the proposal, e.g., coverage limits or policy modification including waiver of subrogation, additional insured endorsements and other project specific requirements. SECTION 10 - DELAYS If delays to AET's Services are caused by Client or Owner, other parties, strikes, natural causes, pandemic, weather, or other items beyond AET's control, a reasonable time extension for performance of the Set -vices shall be granted, and AET shall receive an equitable fee adjustment. SECTION 11 - PAYMENT, INTEREST, AND BREACH 11.1 - Invoices are due net thirty (30) days from the date of receipt of an undisputed invoice. Invoices will be paid without reductions for bond or retention. If thie proposal amount is a time and material estimate, or if changes occur affecting the project scope, estimated quantities, project schedule or other unforeseen, conditions, AET will communicate with Client request a change order. However, nothing in this agreement shall be construed !in any way as a waiver of payment by Client to AET for Services authorized under this agreement. Approval of a change order may be in writing, by electronic commiuinicationi, or any directive for additional Services. SECTION 13 - MEDIATION 13.1 - Except for enforcement of AET's rights to payment for Services rendered or to assert and/or enforce its lien rights, including without limitation assertion and enforcement of mechanic's lien rights and foreclosure of the same, Client and AET agree that any claim, dispute or other matter in question arising out of or related to this Agreement shall be subject to mediation as a condition precedent to arbitration or the institution of legal or equitable proceedings by either party; provided however that if either party fads to respond to a request for mediation withim sixty (60) days, the party requesting mediation may without further notice, proceed to arbitration or the institution of legal or equitable proceedings, 13.2 - Mediation shall be In, accordance with the Construction Industry Mediation Rules of the American Arbitration Association. Request for mediation shall be in writing and the parties shall share the mediator's fee and any filing fees equally and each party shall pay their own legal fees. SECTION 14 - LITIGATION REIMBURSEMENT Except for matters relating to non-payment of fees, which is governed by Section 11 hereof, payment of attorney's fees and costs associated with lawsuits or arbitration of disputes between AETand Client, which are dismissed or are judged substantially in either party's favor, shall be paid by the non -prevailing party. Applicable costs include, but are not limited to, attorney and expert witness fees, court costs, and other direct costs. SECTION 15 - MUTUAL INDEMNIFICATION 15.1 - Subject to the limitations contained in Sections 15 and 18, AET agrees to indemnify Client from and against damages arid costs to the extent caused by AET's negligent performance of the Services. 15.2 - Client agrees to indemnify AET from and against damages and costs to the extent caused by the intentional acts or negligence of the Client, Owner, Client's contractors and subcontractors or other third parties. 15.3 - If Client has an indemnity agreement with other persons or entities relating to the project for which AET's Services are per -formed, the Client shall include AET as an additional Insured. 15.4 - AET's indemnification to the Client, including any indemnity required or implied by law, is limited solely to losses or damages caused by its failure to rneet the standard of care and only to the extent of its negligence. SECTION 16 - NON -SOLICITATION Each party to this Agreement (a "Party") agrees that it will not encourage, induce, or actively solicit any employee of the other party to leave their employment for any reason, provided that neither Party is precluded frown (a) hiring any such employee who has been terminated by a Party or its subsidiaries prior to commencement of employment discussions between a Party and such employee, or (b) soliciting any such employee by means of a general advertisement or through an employment agency that does not specifically pursue the employee, or (c) hiring employees or former employees of the other Party who contact the Party on its own accord, This Non -Solicitation provision shall be effective and enforceable for six (6) months following termination of this Agreement.
