THIS AGREEMENT, made and entered into by and between the County of
Wright, Minnesota, acting by and through its County Board of Commissioners
(the "County") and the City of Albertville, Minnesota, acting by and through its

WHEREAS, a study of the transportation needs of the north east quadrant of
Wright County has been previously performed via a report dated June, 2004,

been identified as a candidate for turn back to Albertville and Otsego; and
WHEREAS, improvements to Wright County State Aid Highway No. 37 ("CSAH
37") are necessary in conjunction with the development of property in Albertville
located on the south right of way line of CSAH 37, east and north of Interstate No.
94, and west of Mac�iver/MacKenzie Avenues as shown on the attached Exhibit
A (the "Morris Property"); and
WHEREAS, the parties contemplate that future improvements will be necessary
with the development of property in Otsego located on the north right of way line
of CSAH 37, east and north of Interstate No. 94, and west of McGiver/MacKenzie
Avenues as shown on the attached Exhibit A (the "Eide Property"); and
WHEREAS, a Cooperative Agreement between the County, Albertville, and
Otsego outlines the responsibilities and financial commitments related to the
development of the Morris and Eide Properties.
NOW THEREFORE, IT IS MUTUALLY AGREED AND UNDERSTOOD
THAT:
1. Albertville shall, at its expense or at the expense of the owner of the
Morris Property, construct or cause to be constructed the road
improvements shown on the attached Exhibit B. Such road
improvements shall be substantially completed by October 31, 2008.
2. The parties contemplate that at some point after development of the
Morris Property commences a traffic control signal ("Traffic Control
Signal") may be needed at the intersection of CSAH 37 and the

proposed Lymon Avenue shown on Exhibit B. Anytime after the
issuance of an occupancy permit for any building on the Morris
Property, Albertville or Otsego, upon concluding that installation of a
Traffic Control Signal at CSAH 37 and Lymon Avenue would be in the
best interest of the public, may request that Wright County require the
construction of a three -sided Traffic Control Signal in substantially the
configuration shown on the attached Exhibit C. In response to such
request, or upon its own initiation, Wright County may, in its discretion,
require Albertville to install said Traffic Control Signal, in which case
Albertville shall install, at its expense or the expense of the owners of
the Morris Property, said Traffic Control Signal in accordance with
plans and specifications approved by the County Highway Department.
3. Upon construction of the three -sided Traffic Control Signal, Albertville
shall be responsible for providing the necessary electrical energy for the
operation of the Traffic Control Signals, and any electrical energy for
street lights. In addition, Albertville shall be responsible, at its cost and
expense, to (1) relamp the Traffic Control Signals; and (2) clean and
paint the Traffic Control Signals and cabinets; (3) provide the
maintenance on luminaries; and (4) reimburse the County for
maintaining the EVP System. (Emitter units may be installed and used
only on vehicles responding to an emergency as defined in Minnesota
Statues Chapter 169.01, Subdivision 5 and 169.03). In the event said
EVP System or components are, in the opinion of the County, being
misused or the conditions set forth herein are violated, and such misuse
or violations continues after the receipt by Albertville of written notice
thereof from the County, the County shall remove the EVP System, at
Albertville's expense.
4. The parties contemplate that at some point after development of the
Eide Property commences, the fourth side of the Traffic Control Signal
(controlling traffic to and from the Eide Property on the north side of
CSAH 37) may be needed at the intersection of CSAH 37 and the
proposed Lymon Avenue shown on Exhibit B. At the time of platting
of the Eide Property or anytime after such platting of the Eide Property,
Albertville or Otsego, upon concluding that the installation of the fourth
side of a Traffic Control Signal at CSAH 37 and Lymon Avenue would
be in the best interest of the public, may request that Wright County
require the construction of such fourth side of the Traffic Control
Signal. In response to such request, or upon its own initiation, Wright
County may, in its discretion, require Otsego to install said fourth side
of the Traffic Control Signal, in which case Otsego shall install, at its
expense or the expense of the owners of the Eide Property, said fourth

side of the Traffic Control Signal in accordance with plans and
specifications approved by the County Highway Department, and shall
install, at Otsego's expense or the expense of the owners of the Eide
Property, any road improvements to CSAH 37 or changes to the Traffic
Control Signal which Wright County determines are necessary to allow
the Eide Property to access CSAH 37 at the Lymon Avenue
intersection.
5. Upon construction of the fourth side of the traffic signal, Otsego and
Albertville agree to each be 50% responsible for providing the
necessary electrical energy for the operation of the four-sided Traffic
Control Signal, and any electrical energy for street lights on CSAH 37
east of Interstate 94 and west of MacIver/MacKenzie Avenue. In
addition, Albertville and Otsego shall each be 50% responsible for the
cost and expense to (1) relamp the Traffic Control Signals; and (2) clean
and paint the Traffic Control Signals and cabinets; (3) provide the
maintenance on luminaries; and (4) reimburse the County for
maintaining the EVP System. (Emitter units may be installed and used
only on vehicles responding to an emergency as defined in Minnesota
Statues Chapter 169.01, Subdivision 5 and 169.03). In the event said
EVP System or components are, in the opinion of the County, being
misused or the conditions set forth herein are violated, and such misuse
or violations continues after the receipt by Albertville and Otsego of
Written notice thereof from the County, the County shall remove the
EVP System, at Albertville's and Otsego's expense.
6. Upon Completion of any portion of the Traffic Control Signal, it shall
be the County's responsibility at its cost and expense to (1) maintain the
signal controller, (2) determine the appropriate signal timing sequence,
(3) provide phone service to the controller for remote servicing, (4)
provide for replacement of poles, cabinet etc. if they should be damaged
through vehicle collision etc. (major maintenance), (5) provide
maintenance for the EVP system which costs would be reimbursed by
Albertville and/or Otsego pursuant to the terms of this Agreement.
7. Albertville and Otsego shall each indemnify, save and hold harmless the
County and all of its agents and employees of any form against any and
all claims, demands, actions or causes of action of whatever nature or
character arising out of or by reason of the execution or performance of
each party's respective work provided for herein to be performed. The
County shall indemnify, save and hold harmless Albertville and Otsego
and all of its agents and employees of any form against any and all
claims, demands, actions or causes of action of whatever nature or

character arising out of or by reason of the execution or performance of
the work provided for herein to be performed by the County.
Albertville and Otsego shall indemnify, save and hold harmless each
other and all of their agents and employees of any form against any and
all claims, demands, actions or causes of action of whatever nature or
character arising out of or by reason of the execution or performance of
each party's respective work provided for herein to be performed.
8. It is further agreed that any and all full-time employees of the County
and all other employees of the County engaged in the performance of
any work or services required or provided for herein to be performed by
the County shall be considered employees of the County only and not of
Albertville or Otsego and that any and all claims that may or might arise
under Workmen's Compensation Act of the State of Minnesota on
behalf of said employees while so engaged and any and all claims made
by any third parties as a consequence of any act or omission on the part
of said County employees while so engaged on any of the work or
services provided or to be rendered herein shall be the sole obligation
and responsibility of the County.
9. It is further agreed that any and all full-time employees of Otsego and
Albertville and all other employees of the Otsego and Albertville
engaged in the performance by any work or services required or
provided for herein to be performed by Otsego or Albertville shall be
considered employees of their respective cities only and not of the
County and that any and all claims that may or might arise under
Workmen's Compensation Act of the State of Minnesota on behalf of
said employees while so engaged and any and all claims made by any
third parties as a consequence of any act or omission on the part of said
Otsego or Albertville employees while so engaged on any of the work
or services provided or to be rendered herein shall be the sole obligation

10. It is further agreed that any and all full-time employees of the Otsego
and Albertville and all other employees of the Otsego and Albertville
engaged in the performance of any work or services required or
provided for herein to be performed by Otsego or Albertville shall be
considered employees of their respective cities only and not of the other
city and that any and all claims that may or might arise under
Workmen's Compensation Act of the State of Minnesota on behalf of
said employees while so engaged and any and all claims made by any
third parties as a consequence of any act or omission on the part of said
Otsego or Albertville employees while so engaged on any of the work

or services provided or to be rendered herein shall be the sole obligation
and responsibility of the respective City which employs such employee.
11. Before this Agreement shall become binding and effective it shall be
approved by the City Council of Albertville and Otsego and it shall also
be approved by the County Board and such other officers as the law
may provide.
12. In the event that CSAH 37 is turned back to Albertville and Otsego or is
otherwise no longer a Wright County highway, the terms of this
Agreement shall no longer apply to Wright County.
IN TESTIMONY WHEREOF the parties have duly executed this
agreement by their duly authorized officers and caused their respective seals to be

COMMERCIAL PURCHASE AGREEMENT
THIS COMMERCIAL PURCHASE AGREEMENT ("Agreement") is made as of
, 2007, between DDr. Gerhard Knechtl ("Seller"), Hoey Outdoor
Advertising, Inc., a Minnesota Corporation, ("Lessee") and the City of Albertville, a
Municipal Corporation under the laws of the State of Minnesota (the "City" or "Buyer").
In consideration of this Agreement, Seller and the City agree as follows:
WHEREAS, the City seeks to acquire the Property (defined below) from Seller
for highway right of way; and
WHEREAS, Lessee currently leases a portion of the Property from Seller and
currently has a billboard sign located on the property pursuant to such lease (the
"Lease"); and
WHEREAS, the Seller has agreed to sell a portion of its Property to the City in
lieu of the City acquiring the property via the eminent domain process; and
WHEREAS, Lessee as agreed to terminate its lease rights on such Property in
lieu of the City acquiring such lease rights via the eminent domain process;
NOW, THEREFORE, the Seller, Lessee and City agree as follows-
1 . Sale of Property. Seller agrees to sell to the City, and the City agrees to
buy from Seller, the following property:
The real property located in Wright County, Minnesota, described on the
attached Exhibit A ("Land") together with all easements and rights benefiting or
appurtenant to the Land (collectively the "Property").
2. Purchase Price.
a. Total Compensation. The total purchase price ("Purchase Price") to
be paid by the City to Seller for the Property shall be $13.00 per square foot for a
total of $625,378.00 by check or wire transfer on the Closing Date based on a
defined square footage of the Property of 48,106 square feet.
b. Compensation for Sign Relocation. The City agrees to pay Lessee
$22,150.00 as relocation compensation to compensate Lessee for the relocation
of an existing billboard sign located on the Property. It is Lessee's intent to
relocate the existing billboard sign elsewhere on Seller's contiguous property
pursuant to a new lease to be agreed upon between Seller and Lessee. At the

closing of this Agreement, Lessee agrees to deliver to the City a termination of its
lease rights on the Property.
c. License to Maintain Sign on the Property. The City hereby grants to
Seller and Lessee a license effective on the Closing Date to maintain the existing
billboard sign on the Property until the earlier of:
The completion of construction and the issuance of a final
building inspection approval for a replacement billboard sign
located on Seller's remaining contiguous property;
ii. March 1, 2009.
Lessee shall pay to the City all utility costs and real estate or other taxes
attributable to the presence or operation of the billboard sign after the date of
closing (including payments in lieu of real estate taxes under Minn. Stat. 272.01).
During the term of this license, Lessee shall maintain liability insurance in the
minimum amounts of $500,000 per occurrence and $1,200,000 per event, and
shall name the City as an additional insured on such policies. Lessee shall
remove the above -grade portion of the existing billboard structure from the
Property upon the expiration of said license and the City shall then become the
owner of the below -grade portion of the existing sign and may dispose of the
below -grade portion as it sees fit. In the event the Lessee fails to remove the
above -grade portion of the existing billboard structure, it shall become the
property of the City and the City may dispose of the above -grade portion as it
sees fit.
3. Closing. The closing (the "Closing") shall occur on or before the later of
August 31, 2007 or 60 days after the contingencies have been satisfied
(the "Closing Date"). The Closing shall take place at the office of
Albertville City Hall, or at such other place and at such time as may be
agreed upon by Buyer and Seller and Lessee.
4. Closing Documents.
a. Seller's Closing Documents. On the Closing Date, Seller shall
execute the following (collectively, "Seller's Closing Documents") and
deliver to the City:
(1) Deed. A Warranty Deed, in form reasonably satisfactory to
the City, conveying marketable title to the Property to the City, free
and clear of all encumbrances, except as set forth in the title
commitment prepared by Guaranty Title, Inc. with a commitment

date of August dated August 8, 2006, and as set forth in the
license provisions granted herein.
(2) Termination of Leases. Terminations of Leases, in form
reasonably satisfactory to the City, signed by all tenants of the
Property.
(3) Closing Documents. An affidavit of Seller as may
reasonably be required by the City's title insurer.
(4) Well Certificate. A Well Certificate in the form required by
Minn. Stat. 1031.235.
(5) Storage Tanks. An affidavit with respect to storage tanks
pursuant to Minn. Stat. 116.48, if applicable.
(6) Other Documents. All other documents reasonably
determined by the City to be necessary to transfer the Property to
the City as set forth herein.
b. Lessee's Closing Documents. On the Closing Date, Lessee shall
execute the following (collectively, "Lessee's Closing Documents") and
deliver to the City:
(1) Acknowledgement of Receipt of Notice of Relocation
Eligibility. An affidavit similar in form and content to that attached hereto
as Exhibit B.
(2) Termination of Lease Rights. A termination of all of
Lessee's lease rights in the Property in a form acceptable to the City
Attorney.
C. City's Closing Documents to Seller. On the Closing Date, the
City shall execute the following (collectively, "City's Closing Documents")
and deliver to Seller:
(1) Payment. The City shall provide Seller with a check or wire
transfer for the amount of the purchase price adjusted for applicable
prorations.
d. City's Closing Documents to Lessee. On the Closing Date, the
City shall execute the following (collectively, "City's Closing Documents")
and deliver to Lessee:
(1) Payment. The City shall provide Lessee with a check or
wire transfer in the amount of $22,150.00.

5. Possession. Seller agrees to deliver possession of the Property to the
City on the Closing Date, subject to the license rights granted herein.
6. Closing Costs. The City will pay all closing fees, title insurance fees,
abstracts, deed tax, and recording costs. Seller must pay real estate taxes up to the
Closing Date, all levied special assessments, and all unpaid real estate taxes. All
operating costs (utilities, etc.) of the Property will be allocated between Seller and the
City as of the Closing Date.
7. Operation Prior to Closing. Until the Closing Date, Seller shall operate
and maintain the Property in the ordinary course of business, including the maintenance
of adequate liability insurance and property insurance.
8. Termination of Lease. Seller and Lessee agree that the Lease between
Seller and Lessee relating to the Lessee's billboard sign currently located on the
Property as well as all other lease interests Lessee currently has relating to the
Property, if any, shall terminate no later than the Closing Date.
9. Representations and Warranties by Seller. Seller represents and
warrants to the City as follows:
a. Title to Property. Seller owns the Property, free and clear of all
encumbrances, except the Lease between Lessee and Seller relating to
the existing billboard sign and except as set forth in the title commitment
prepared by Guaranty Title, Inc. with a commitment date of August dated
August 8, 2006.
b. Leases. There are no other leases or possessory rights of others
regarding the Property other than the existing Lease between Seller and
Lessee relating to the existing billboard sign.
C. Environmental Laws. To the best knowledge of Seller, and except as set
forth in any environmental reports with respect to the Property which are in
the City's possession, no toxic or hazardous substances or wastes,
pollutants or contaminants, petroleum products, any hazardous
substances or pollutants as defined by state or federal law, are located on
or in the Property. Seller shall not be released from any liability for any
environmental contamination of the Property for which Seller is a
responsible party.
To the best knowledge of Seller, and except as set forth in any
environmental reports with respect to the Property which are in the City's
possession, no above ground or underground tanks are located in or
about the Property, or have been located under, in or about the Property

and have subsequently been removed or filled. There are no known wells
within the meaning of Minn. Stat. §1031.005 on the Property. Seller has
disclosed to the City all environmental reports and studies with respect to
the Property which are in Seller's possession. There are no septic
systems located on the Property.
10. Representations and Warranties by Lessee. Lessee represents and
warrants to the City as follows:
a. Leases. Lessee has no other leases or possessory rights relating to the
Property other than the Lease.
b. Relocation Benefits and Waiver of Right to Seek Further Relocation
Benefits. Lessee has received a notice of its eligibility for relocation benefits
pursuant to Minn. Stat. 117.52 and has satisfied itself, after due inquiry, that
the $22,150.00 in relocation assistance is a fair and accurate estimate of all
of Lessee's relocation costs arising from the acquisition of the Property by
the City, including the costs of relocating Lessee's existing billboard sign
from the Property to another acceptable location on Seller's remaining land.
Lessee understands that Lessee may be eligible for relocation benefits
under Minnesota State Statute § 117.52, including payment of moving
expenses, replacement property search fees not to exceed $2,500.00, costs
to connect to nearby utilities, selected professional fees related to the lease
of a replacement site, reestablishment expenses not to exceed $50,000.00,
and relocation advisory assistance services provided by the Buyer. Lessee,
with full understanding of the potential relocation benefits available to it,
hereby agrees that the $22,150.00 in relocation benefits set out herein is a
fair estimate of all of the eligible relocation costs that will be incurred by
Lessee in moving its billboard sign from the Property onto Seller's remaining
property. Lessee hereby waives its right to seek additional relocation
benefits and accepts said $22,150.00 in full settlement of all relocation
benefits Seller may be due under Minn. Stat. § 117.52. Seller is voluntarily
waiving its right to seek further relocation benefits and such waiver is not
being made under threat of eminent domain.
11. Contingencies in Favor of the Seller and Lessee. The performance of
the terms of this Agreement is contingent upon satisfaction of the following
contingencies prior to Closing, both of which run in favor of the Seller and the Lessee:
a. Approval by the City of Albertville and the State of Minnesota (as necessary)
for the removal of the existing billboard located on the Property and the
construction of a new billboard at least 720 square feet in size extending no
higher than 993.32 feet above sea level to be located on Seller's remaining
property in the approximate location shown on the attached Exhibit C.

b. Execution of a lease between Seller and Lessee providing for the lease by
Lessee of that portion of Seller's remaining property identified on the attached
Exhibit C.
Lessee shall diligently make application for whatever zoning approvals are required by
the City to fulfill the contingencies described above, and Seller shall cooperate with
Lessee in making such application.
12. Subdivision of Property. Seller shall cooperate with Buyer in complying
with the City of Albertville's subdivision requirements necessary to subdivide the
Property as a separate parcel for conveyance to Buyer. I Buyer shall pay all application
and processing fees required by the City of Albertville to process the subdivision, unless
the subdivision of the Property occurs in the form of an outlot to a plat filed by the
purchaser of the remaining portion of Seller's property.
13. Right to Enter Property: Indemnification; Reports. The City shall
have access to the Property for purposes of performing surveys, engineering borings,
and other testing. The City will be responsible for any damage to Seller's personal
property and other claims resulting from the City's entry onto the Property.
14. Waiver of Appraisal Fees. Seller has been informed of his right to have
an appraisal of the Property performed on his behalf and be reimbursed by the City for
the cost of such appraisal up to a maximum of $5,000. Seller waives this right to be
reimbursed for appraisal costs. Seller acknowledges receipt of the appraisal of the
Property performed on behalf of the City in the amount of $518,000.00.
15. Survival and Supremacy. All of the terms conditions and obligations of
this Agreement shall survive the closing and shall be enforceable after the Closing.
16. Entire Agreement; Modification. This written Agreement constitutes the
complete agreement between the parties relating to the purchase of the Property and
the relocation of Lessee's billboard sign and supersedes any prior oral or written
agreements between the parties regarding the Property and the relocation of said sign.
There are no verbal agreements that change this Agreement and no waiver of any of its
terms will be effective unless in writing executed by the parties. This agreement binds
and benefits the parties and their successors and assigns. This Agreement has been
made under the laws of the State of Minnesota and such laws will control its
interpretation.
17. _Termination of Purchase Agreement. If, after diligent effort by the
applicable party, the contingencies identified in this Agreement are not met or not
waived by the applicable parties by October 31, 2007, all parties agree to execute
whatever documentation is necessary to cancel this Agreement upon the request of any
party to this Agreement.
