This amendment is by and between the State of Minnesota, through its Commissioner of Department of
Employment and Economic Development, Economic Development Division, 332 Minnesota St., Suite E200, Saint
Paul, MN 55101 ("State") and City of Albertville, 5959 Main Ave NE, Albertville, MN 55301("Grantee").
Recitals
1. The State has a grant contract agreement with the Grantee identified as CDAP-21-0002-H-FY2021 dated
April 28, 2021("Original Grant Contract") to assist Advance Volumetric Alliance, LLC with the purchase
of equipment.
2. Advance Volumetric Alliance, LLC has requested to add its operating entity; AVAOP, LLC which will
house all other operations of the business including employees. All of the assets will remain at the
property of Advanced Volumetric Alliance, LLC (AVA).
3. The State and the Grantee are willing to amend the Original Grant Contract Agreement as stated below.
Grant Contract Amendment
In this Amendment, changes to pre-existing Contract Language will use StrikeethFeug-h for deletions and
underlining for insertions.
REVISION 1: (Defined Terms):
"Application" means the Grantee's application to the State for a Minnesota Investment Fund award for the
purpose of providing a loan to AVA 12, UG Advance Volumetric Alliance, LLC ("BORROWER") and AVAOP, LLC
(-CO-BORROWER-). —
Except as amended herein, the terms and conditions of the Original Grant Contract Agreement and all
previous amendments remain in full force and effect.
